Topic
Business Forms and Governance
Instructions
The legal form an entity or individual takes is a decision that must be considered from a risk and liability perspective, not simply one of ease of formation or cost. Form can impact the entities ability to grow and, in some circumstances, its ability to survive. As you consider this reality and approach this assignment, consider not only the form the business takes but also the way it will be governed. Remember the law requires business leaders conduct their business ethically and within the boundaries of the law.

Answer preview
The most important reasons for the choice of incorporating is strictly based on the structural characteristics that the legal form is embedded on. Almost all statuses have similar conditions for the formation and structure of a corporation, whether it is according to the stipulations of Companies Act 2006 for the United Kingdom (U.K.) or the Corporation Law for the United States (U.S.) (Department for Business Innovation & Skills, 2011 and Armour, Hansmann, & Kraakman, 2009). The main structural benefits for choosing corporation as a suitable legal form for the manufacturing business include the processes of rising money, legal personality to a company, operating under limited liability facets, presence of centralized management through a board structure, transferring ownership, and being unlimited to life.
